If you upgrade your Subscription Plan, any incremental cost will be prorated and charged accordingly. 4. Cancellation and Refunds: You may cancel your subscription at any time; however, fees paid are non-refundable unless otherwise specified in our Refund Policy. Upon cancellation, your subscription will remain active through the end of the current billing period.

License and Intellectual Property

1. License Grant: Subject to your compliance with these Terms, Adaptflow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services. 2. Intellectual Property Rights: All content, trademarks, service marks, logos, and intellectual property associated with the Services are owned by or licensed to Adaptflow. Interfere with or disrupt the Services or servers/networks connected to the Services. 4. Upload or transmit any viruses, malware, or other malicious code. 5. Engage in any activity that is fraudulent, abusive, harassing, or discriminatory.

Content Ownership and Responsibility

1. User Content: You may upload, post, or otherwise transmit content through the Services ("User Content"). You retain all rights to your User Content. 2. License to Adaptflow: By making User Content available through our Services, you grant Adaptflow a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and display your User Content solely for the purpose of operating and improving our Services. 3. Termination

Termination by Us: We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Services. 3. Effect of Termination: Upon termination, all licenses and other rights granted to you under these Terms will immediately cease. Any fees paid are non-refundable except as expressly provided in these Terms or our Refund Policy.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPTFLOW DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ADAPTFLOW DOES NOT WARRANT THAT: 1. THE SERVICES WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED; 2. THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR 3. ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADAPTFLOW, ITS DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL ADAPTFLOW'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID ADAPTFLOW FOR ACCESS TO THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Adaptflow, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: 1. Your access to or use of the Services. 2. Your violation of these Terms. 3. Your infringement of any intellectual property or other rights of any third party.

Governing Law

These Terms and any dispute related to them or the Services will be governed by and construed in accordance with the laws of California, without giving effect to any conflict of law principles.

Dispute Resolution

Any dispute arising out of or in connection with these Terms or the Services shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the state or federal courts located in California, and you consent to the personal jurisdiction of these courts.

Severability

If any provision of these Terms is deemed unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.

Entire Agreement

These Terms (including our Privacy Policy and any additional terms or policies referenced herein) constitute the entire agreement between you and Adaptflow regarding the use of our Services and supersede any prior or contemporaneous agreements, communications, or understandings.

Waiver

No waiver of any breach or default of any provision of these Terms shall be deemed a waiver of any subsequent breach or default, and failure to enforce any provision of these Terms shall not constitute a waiver.

Assignment

You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent. We may freely assign or transfer our rights and obligations under these Terms.
